Strategic Market Alignment

Enrocks Investments LLC is launching an Green Energy Certificate (AMC) to finance its internal pipeline of renewable energy development projects, primarily photovoltaic solar farms in Italy. The strategy focuses on deploying short- to medium-term capital into early-stage solar projects, adding value by advancing them through key development milestones, and realising gains through exit or refinancing when construction-ready.

This approach taps into the strong growth of renewables in Southern Europe, a region that has built one of the world’s largest and most dynamic renewable energy markets and now must accelerate further to meet ambitious net-zero targets.

Investment Focus: A diversified 300 MWp solar portfolio across Italy’s prime renewable regions: Lazio, Lombardy, and Tuscany.

Ethical Financing: Structured as a Shariah-compliant Murabaha facility, ensuring compliance with Islamic finance principles.

Sustainable Growth: Contributing to Italy’s ambitious net-zero targets through high-performance renewable energy projects.

Investor Benefits: Access to a professionally managed portfolio with lower entry thresholds and efficient cost structures.

Risk Management Approach

Effective risk management is at the core of the AMC’s strategy, given its emphasis on
capital preservation alongside growth. Several layers of risk controls are in place:

Portfolio
Diversification

The portfolio is diversified across multiple solar development projects and select countries, reducing exposure to any single project’s risks such as delays or cost overruns.
By staggering locations, timelines, and exit maturities.

Shariah Governance and Ethical Constraints

Shariah compliance ensures risk controls by avoiding interest, uncertainty, and speculation, with all transactions asset-backed. Transparency, fairness, and audits further reduce legal and counterparty risks, making ethics a core risk management tool.

Experienced Management and Oversight

Enrocks management team and AMC committee leverage extensive renewable project experience and local market knowledge to anticipate risks. They use robust project management and regular risk reviews to monitor development, market, and exit factors.

Milestone-Based Tranching

Tranching capital deployment, funding in stages tied to project milestones is a key risk mitigation tool, aligning fund releases with proven progress. If a project stalls or encounters obstacles, the AMC can halt further investment, preserving capital and incentivizing developers to meet targets.

Tranching of Investor Returns (if applicable)

All investors hold the same Certificate, but returns are paid through multiple self-contained Murabaha contracts. Each contract is independently structured to ensure transparency, Shariah compliance, and protection of invested capital.

No Leverage Policy

The strategy avoids all financial leverage, with no debt at the AMC or project level, eliminating risks from interest, refinancing, or debt covenants. Each investment is equity funded, aligning with Shariah principles and delivering returns with lower volatility and reduced risk.

Strategy

Return Strategy and Objectives:

The AMC targets IRRs of 10%+ by funding solar projects from inception through development, transforming low-cost sites into shovel-ready assets. Value is realized through strategic exits or refinancing, combining strong returns with disciplined capital preservation.

Exit at Ready-to-Build Stage:

The AMC follows a develop-and-exit strategy, selling projects at ready-to-build stage within 1–3 years to utilities or strategic buyers. This captures value uplift while avoiding construction risks and market volatility.

Profit Margin Realization via Murabaha:

Through a Murabaha structure, returns come from fixed profit mark-ups on asset sales, not interest. Contracts tied to milestones ensure predictable, Shariah-compliant income, while development premiums drive performance without  speculation.

Capital Preservation Focus:

The strategy targets a 10%+ IRR with capital preservation at its core. Contingencies protect against delays or overruns, while a shorter holding horizon limits exposure to policy, market, and technology risks.

Recycling of Capital:

If structured as an ongoing certificate, the AMC can recycle capital into new projects to compound returns. Recycling is pursued only for strong opportunities; otherwise, proceeds are distributed or used to de-risk, balancing profit and upside.
